1. LEGAL INFORMATION AND SCOPE OF APPLICATION

(Hereinafter referred to as "Very Véritable" or the "Provider")
1.2. Object and Scope
These Terms of Service (TOS) govern the entire contractual relationship between Very Véritable and any professional (hereinafter the "Client") wishing to use the authentication service for luxury items based on photographs (hereinafter the "Service").
1.3. Service Reserved for Professionals (B2B)
The Service is strictly reserved for professionals (resellers, consignment shops, experts, concierges, etc.) acting within the scope of their usual commercial activity. By accepting these TOS, the Client declares on their honor to hold the status of a professional. The Client acknowledges that in this capacity, they do not benefit from the provisions of the Consumer Code, and in particular, hold no right of withdrawal.
2. SERVICE DESCRIPTION AND OBLIGATION OF MEANS
2.1. Nature of the Service
The Service consists of a visual technical analysis based on digital photographs transmitted by the Client, aiming to issue an opinion on the authenticity of a luxury brand item. This opinion is materialized by the issuance of a digital certificate (PDF).
2.2. Obligation of Means (Best Efforts)
Very Véritable is subject to an obligation of means (best efforts obligation). The Provider undertakes to mobilize all its expertise and know-how to analyze the items. However, the Client acknowledges that analysis based on photographs inherently involves technical limitations compared to a physical analysis, and that a risk of error, however minimal, cannot be totally excluded.
3. PLATFORM ACCESS AND SECURITY
3.1. Client Account
Access to the Service requires the creation of a professional account. The Client is solely responsible for maintaining the confidentiality of their credentials. Any action performed via the Client's account is deemed to have been performed by the Client.
3.2. Right of Suspension and Termination
Very Véritable reserves the right to suspend or delete a Client's account at any time, without notice and without compensation, particularly in the event of payment default, disrespectful behavior, suspicion of fraud, or non-compliance with these TOS.
4. ORDER PROCESS AND PHOTOGRAPHS
4.1. Submission of Elements
The Client undertakes to upload their own photographs via the platform. It is strictly forbidden to transmit links to third-party sites or photos of which the Client is not the author. Photos must be clear and comply with the platform's instructions.
4.2. Unusable Photos
If the transmitted photos are insufficient, Very Véritable will request additional shots. If the Client fails to provide the requested elements or sends unusable elements again, Very Véritable will close the request. In this case, the service fee remains due and will not be refunded, in order to cover the analysis time already committed.
4.3. Inconclusive Verdict
If the photos are of compliant quality but the item presents characteristics that are too complex or ambiguous to allow Very Véritable to pronounce a verdict with certainty, an "Inconclusive" verdict will be rendered. In this specific case only, the service will be fully refunded to the Client.
4.4. License on Photographs
The Client retains ownership of the photos they transmit. However, the Client grants Very Véritable a non-exclusive, free, worldwide, and perpetual license to use these photographs for its internal needs.
5. PROCESSING TIMES
5.1. Indicative Deadlines
Very Véritable strives to process requests within 24 business hours (Monday to Saturday included). This timeframe is given as an indication only.
5.2. Delays
A reasonable delay (particularly in case of illness, technical failure, or item complexity) shall not give rise to any cancellation of the order, nor to any refund or compensation whatsoever.
6. PRICING AND PAYMENT TERMS
6.1. Rates
Prices are indicated in Dollars. VAT not applicable, pursuant to Article 293 B of the French General Tax Code (CGI).
6.2. Payment Methods
Depending on the account options, payment is made either via credit card (immediate payment) or via monthly invoice payable by bank transfer (maximum 30 days from invoice date).
6.3. Late Payment
In accordance with Article L.441-10 of the French Commercial Code, any late payment automatically results in the immediate playability of all sums due, the application of penalties at a rate of 3 times the legal interest rate, and a fixed indemnity of 40 euros for recovery costs.
7. DELIVERABLE
The Service results in the issuance of a certificate in secure PDF format. No paper document will be sent. The certificate is written in the language selected by the Client. In the event of a translation discrepancy, only the French version of these TOS shall prevail.
8. LIMITATION OF LIABILITY
8.1. Compensation Cap
In the event that Very Véritable's liability is engaged, the parties expressly agree that the amount of damages and compensation payable is strictly limited to the amount of the price paid by the Client for the disputed service.
8.2. Exclusion of Indirect Damages
Very Véritable shall not indemnify the Client for the value of the analyzed item, loss of profit, or damage to image/reputation. The Client accepts this limitation as a determining condition of the contract.
9. PERSONAL DATA AND DISPLAY ON CERTIFICATE
9.1. Data
Collected data is necessary for the execution of the Service and stored for 10 years for evidentiary purposes. The Client has a right of access and rectification.
9.2. Mention on the Certificate
The Client is informed and expressly accepts that their company name or trade name appears on the certificate of conformity issued by Very Véritable, thus certifying that they are the requester of the analysis.
10. INTELLECTUAL PROPERTY
10.1. Ownership
All elements of the Service, including without limitation the website, the registered trademark "Very Véritable" (registered with the INPI under national number 5199225), logos, graphic charters, as well as the structure and design of the issued certificates, are the exclusive property of Very Véritable.
10.2. Prohibitions
These TOS do not imply any assignment of intellectual property rights to the Client. It is strictly forbidden to reproduce, modify, alter, or falsify the certificates issued by Very Véritable, notably by removing or masking the Provider's logo or the verification QR code. Any violation may be subject to legal proceedings.
11. METHODS AND KNOW-HOW
Very Véritable retains full and exclusive ownership of the analysis methods, know-how, reading grids, and technical tools developed for the execution of the services. The Client is prohibited from attempting reverse engineering or copying the Provider's analysis processes.
12. SUBCONTRACTING
The Client expressly authorizes Very Véritable to use any subcontractor of its choice for the execution of all or part of the analyses (independent experts, specialized analysts), without having to inform the Client beforehand. Very Véritable remains, vis-à-vis the Client, solely responsible for the proper execution of the services entrusted to its subcontractors.
13. GOVERNING LAW AND JURISDICTION
13.1. Governing Law
These TOS are governed by French law.
13.2. Competent Court
In the event of a dispute, exclusive jurisdiction is attributed to the courts within the jurisdiction of Very Véritable's registered office, notwithstanding plurality of defendants or third-party claims.
